Introduction

Welcome to Property Wealth Corporation, Property Wealth Education (“PWE”) and our associated .  

  1. These Terms and Conditions (“Terms”) shall apply to and be deemed to be incorporated in our Property Wealth Education Contracts but to accept the further terms that are specific to Our Contract with You as stated in writing therein between Us. These Terms should be read in conjunction with any other documentation mentioned herein and with Your personal Contract with Us.  They set about our terms under which Services are being sold and provided by us through this website and any other outlet, social media, and electronic platforms.

    1. Please ensure you have read the Terms carefully and have thoroughly understood them before ordering any service from PWE. These Terms will form part of any contract executed with PWE, and You will be deemed to confirm your agreement to the Terms when PWE provides any Services to You. We may update the Terms from time to time either for legal, regulatory, service, or operational reasons and will notify You of such before they apply.  Whereas You may not transfer any of Your rights or obligations under these Terms to another, We may transfer Our rights and obligations where we reasonably believe Your rights will not be affected.
    1. The headings in these Terms are for reference only and not for interpretation. The Terms constitute our entire agreement with You and supersedes all other conversations, representations, understandings, or agreements except as otherwise agreed in writing in Your Contract with US as allowed in these Terms. If the Terms conflict with any terms in our Service marketing, promotions or materials, these Terms will take priority.
    1. Your continued browsing and use of this website and this document shall be taken as Your agreement to comply with and be bound by Our Terms, which together with Our Privacy Policy govern PWE’s relationship with You in relation to this website, Our business, Services and the Contract.

    About Us

    1. Your agreement is with Property Wealth Education Ltd (“Property Wealth Education” or “PWE”) which in these Terms, shall also be referred to as “We”, “Us”, or “Our”. “PWE” shall be deemed to include Property Wealth Corporation as parent company, the Wealth Circle (“WC”) and the Wealth Circle Community (“WCC”) being the circle and community for our collective Membership participations.

    3. The terms “You” or “Your” shall refer to business clients and any user or viewer of this website for Our Services.
    4. We shall contact You on the email address provided in Your Contract unless You advise us otherwise in writing.

    Definitions

    1. Cancellation Period – means the cooling-off period from the commencement of the Contract up to and including 14 calendar days thereafter, in which a client may exercise their right to cancel the Contract for Services being provided by PWE.
    2. Contract – means the agreement expressed between PWE and You, which relates to any Service or product being provided by PWE and described in the Contract.
    3. Documentation – means any information, paperwork, process or procedure notes, policy, and similar issued by PWE.
    4. Free Services – means and includes all social media platform content, pop-up events, masterclass training, webinars, forum, any freely accessible educational content being provided through social media recordings, free events, consultation calls, and any material provided free of charges by PWE in line with Our business.
    5. Member (or “PWE Member”) – means a client who has paid in full or is paying by instalment or subscription, to PWE, for Services and that is confirmed by PWE in writing as a Member and Membership shall mean Member of PWE Wealth Circle.
    6. Paid Services – means any networking event, training courses, technical consultation services, mentorship and other activities offered by PWE in return for payment by clients or participants.
    7. Services – means Paid Services, Free Services, and any other service, including digital, through which PWE is delivering guidance, learning, or information.
    8. Social Media – means books, Facebook, Instagram, LinkedIn, YouTube, WhatsApp, and any other public forum on which PWE may share content including podcasts, publications, articles, public webinars, and masterclasses.

    General Terms

    1. The content of the pages of this website is for your general information and use only. It is subject to change without notice. We cannot guarantee that the website will be fault free or available at all times but if You become aware of a fault, please report it to Us and We will aim to rectify the fault as soon as reasonably possible.
    2. Neither We nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors or may be subject to factors beyond Our control, and We expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law. We further expressly exclude all warranties, conditions and terms which might otherwise be implied by the law, to the maximum extent permitted by law.
    3. Your use of any information or materials on this website is entirely at Your own risk, for which We shall not be liable. It shall be Your responsibility to ensure that any products, Services, or information available through this website, or any other electronic medium by PWE, meet Your specific requirements.
    4. This website contains material which is owned by or licensed to Us. This material includes, but is not limited to, the design, layout, look, appearance, and graphics. Reproduction is prohibited other than in accordance with the copyright notice and Intellectual Property provisions, which form part of these Terms.
    5. All trademarks reproduced on this website, which are not the property of, or licensed to PWE, are acknowledged on the website.
    6. Unauthorised use of this website may give rise to a claim for damages and/or be a criminal offence. We may give You notice and terminate Your Membership if You are in material breach of these Terms and You do not rectify such breach within 7 days of Our notifying You. PWE will have the rights to recover full payments following termination.
    7. Membership benefits are strictly limited to Your personal use of this website as a PWE Member and access must not be given to or shared with another or codes or passwords divulged to allow access that is not authorised by PWE.
    8. PWE makes no promises that Membership will meet all Your requirements, although We aim to offer You the best possible Services.
    9. From time to time this website may also include links to other websites. These links are provided for Your convenience to provide further information. They do not signify that we endorse the other website(s). We have no responsibility for the content of the linked website(s).
    10. You may not create a link to this website from another website or document without PWE’s prior written consent.
    11. These Terms, Your use of Our website, and any dispute arising out of such use of the website are subject to the laws governing England.
    12. This website may collect Your data which We use for marketing purposes such as retargeting advertising on social media. You can opt out of this at any time by emailing us at admin@propertywealthcorp.com and requesting that we remove Your data from Our records for marketing or click on the unsubscribe button in Your email.

    Age Requirements

    1. There are no age restrictions on the use of any of Our free public Services, however You must be over the age of 18 years old to purchase our Paid Services.
    2. Should You be of an age younger than 18 years old, You will be required to get a legal guardian over the age of 18 to purchase Our Paid Services.
    3. PWE reserves the right to cancel any contract formed fraudulently where You have been found to breach clause 26.

    Contracts

    1. Before any Services can be provided by PWE, You will be required to execute a Contract.
    2. The Contract shall define the product or Services being purchased by You, any further terms of business, Our obligations, Your obligations and rights under the Contract, and it is to be read in conjunction with these Terms as they subsist.
    3. The Contract commencement date shall be the date when the Contract is fully signed by both parties, except where an email has been exchanged between You and Us to confirm the start of the Contract by performance pending Your signing. You may be required to effect immediate steps in the Contract for it to commence such as making a payment, following which PWE would confirm the commencement by issuing You with access to the PWE Wealth Circle Community, referred to in Your Contract and thereby confirming You as a Member.
    4. A Contract or Membership may be cancelled at any time during the agreement and by either party in writing but without prejudice to the payment obligations and liabilities that may have already arisen from the Contract and have become payable to PWE. PWE may give You reasonable notice and You may give PWE 7 days’ notice to terminate the Contract.  Any notice shall be processed as prescribed in these Terms.
    5. PWE reserves the right to refuse an application for Membership and has the discretion to cancel Membership including where a Member fails to comply with the Terms or with housekeeping rules that may be published from time to time on the Wealth Circle Community or that shall be sent to Members on their personal email held on Our PWE records. If PWE chooses to ignore a breach by a client, PWE will still be entitled to enforce other or future breaches.
    6. If a client has exercised their right to terminate a Contract within the Cancellation Period, they agree to immediate forfeiture of Services, and all access to material provided.
    7. A client shall be deemed to have waived any right to a refund of monies paid for Services received up until the point of termination where termination is after the 14-day Cancellation Period and will have the responsibility to pay PWE in full under the Contract. The client will continue to have access to Our Paid Services until the expiry date of their Contract except where the termination is by Us following breaches by the client as provided in these Terms, which may include exclusion from Services at PWE’s discretion.

    Services

    1. PWE will supply You with a range of educational content which shall be provided through marketing and educational texts, media services and outlets, online student portals, face-to-face networking and training sessions as agreed in Your Contract.
    2. Services on the website and in Your Contract may be categorised as Free Services or Paid Services. PWE continually seeks to upgrade, update, and improve its Services. PWE reserves the right and sole discretion to make changes to its Services provided that the changes do not materially affect the quality and content of Our Services.

    4. PWE reserves the right to make amendments to the content and structure of its Services or programs, mentorship days and training and deliver these in a way it sees fit for its business, or to comply with any necessary law or regulatory provisions impacting its business. Any such changes will be reflected on the website.
    5. PWE may choose to supply Services on an individual basis, or to any wider group, and has the right to tailor its Services to meet the needs of its individual clients.
    6. Any content in the form of brochures, manuals, drawings, charts, example templates, or any such information packs, circulated privately or published for public consumption, are for illustrative purposes only.
    7. PWE shall ensure the delivery of its Services is carried out with due care and reasonable skill and shall arrange for adequate delivery of content and material in accordance with these
    8. Appropriate media services will be provided through the PWE online portal for clients who have purchased Paid Services. A username and password will be issued immediately upon payment for any Paid Services and shall remain valid until the expiry of the initial 12 months of the membership (except where termination has taken place to stop access to Services). After this time should You wish to continue to gain access to materials and training content provided in the portal, You can renew any membership obtained through the initial Paid Services route, albeit at a discounted rate.
    9. PWE will set about a calendar of events for various functions relating to the Free and Paid Services but shall reserve the right to amend such dates and reschedule for an alternative
    10. Clients that have purchased Paid Services shall be considered as confirmed Members of PWE.
    11. Members of PWE are responsible for paying all the appropriate fees including for Member ‘plus one’ guest to PWE events, special events, mentoring and coaching and activities that are not covered as part of the Paid Services.
    12. Members of PWE agree that they are responsible for their networking activities within PWE and/or through PWE events including business engagements with guests, consultants and third parties and that PWE accepts no responsibilities in these regards.
    13. PWE may decide to contact you via phone or email to arrange appropriate dates for in-person or face-to-face events or meetings, and as such, you may be asked to provide personal data, and details of your availability to attend such programmes. PWE will not be liable for Your omission of the required information about yourself or where You have not provided or updated the information in good time to PWE whether or not requested.
    14. Where PWE may experience technical problems in delivering Services, PWE shall reserve the right to cancel such Services and reschedule an alternative solution.
    15. PWE operates in its discretion to request due payment for any Services being provided outside of Membership Fee Paid Services and as such reserves the right to cancel any provision of the further Services without notice, where there has been a failure to pay.

    Your Rights, Obligations, and Liabilities

    1. Before PWE has commenced provision of any Services to You, You have the following rights to cancel Your Contract including where You cancel because We are affected by an event outside Our control or have proposed a change in the Terms which places You at a material disadvantage:
      1. Cancellations of purchase or Contract in the Cancellation Period, this being no later than within 14 days of purchasing or contracting.
      2. You are not required to provide a reason for a cancellation occurring in the Cancellation Period.
      3. You will be entitled to a refund of any advance payment made where Services have not been received by You and You cancel within the Cancellation Period. Any refund shall be made within 10 Business Days following receipt of Your cancellation notice. We will use Your purchase payment method for the refund unless You otherwise advise Us in writing.
      4. PWE will be entitled to full payment where Services have been provided to You in the Cancellation Period by making written demand and at its discretion.
      5. You may choose to seek advice and guidance from your local Citizens Advice Bureau or Trading Standards Office in relation to this clause as needed.
    2. If You wish to cancel Your Contract or Services in the Cancellation Period, this will need to be in writing by email to admin@propertywealthcorp.com. Cancellation or any other notice is deemed received provided it is on a Business Day being a day between Monday to Friday at 9:30am to 5:30pm inclusive (except for bank holidays) and where not, then on the next Business Day.
    3. You agree to cooperate with Us by committing to Your learning and by responding to Our reasonable requests including to keep Your contact information up to date with Us.

    Refund Policy

    1. PWE operates a no refund policy and so will not issue a refund for any circumstances beyond as prescribed at clause 50(c).

    Price, Payments, and Membership Fees

    1. PWE maintains a set price list for courses and Services provided to clients.
    2. PWE reserves the right to change the price list at any time and as appropriate for its business, or for what is to be considered in keeping with market practice.
    3. Any changes implemented shall not be deemed to affect You where You are already in Contract and where price has been previously confirmed, however You may be affected by any changes following the expiration of Your existing Contract.
    4. All prices issued shall include VAT and will be calculated at the rate of VAT at the time a Contract is made.
    5. Payments for Services can be made by debit/credit card, bank transfer or through Our partnered credit agencies Klarna and Payl8ter.
    6. If You are paying for Services by a non-instant payment method, You must allow appropriate time for Your payment to clear, and ensure all due funds have cleared with PWE by the date due, at 12 Noon.
    7. You will be deemed to be bound and compliant by Your Contract for payment purposes, when payments have been made in accordance with the below:
      1. Payments are received in full; or
      2. Payments are received on the due date of each monthly subscription.
    8. Payments for Paid Services may be made in advance, through agreed instalments (at PWE’s discretion), or through monthly subscriptions.
    9. Where You choose to make payments for Services by agreed instalment or through subscriptions, You will be required to make payments as set out in Your Contract Payment Schedule. Failure to meet the agreed Payment Schedule shall immediately give PWE the right to remove your access to Services. You agree that at this point, You will also forfeit previous payment made for Services and will have full Fee balance owed to PWE.
    10. Where sums due under the Contract are not paid in full by the due date, We may, without limiting Our rights on such sums, claim statutory interest at a rate defined by the Late Payment of Commercial Debts (Interest) Act 1998.
    11. Membership Fees are the dues paid by clients for the 12 Month mentoring and training course administered by PWE.
    12. Interest will accrue on owed sums and applied on a daily basis from the due date of payment until actual payment is made in full whether before or after judgment.
    13. The client will be responsible for all reasonable costs incurred in the recovery of any outstanding balance (including the employment of a debt collection agency and all potential legal costs). Debt collection charges will be levied against the value of the outstanding debt.
    14. Membership Fees can be paid in full or under a payment plan, at the discretion of PWE.
    15. A deposit is payable upon application and further equal instalment payments must be made for the balance in the agreed method on or before the calendar date in the Contract Payment Schedule except where payment is made in full.
    16. PWE will provide You with an invoice for any amount paid by You for Services.

    Financial Difficulties

    1. If during Your Contract, You are in serious financial difficulties and You become unable to maintain Your agreed Payment Schedule terms, PWE may grant You a one-off payment break.
    2. You are still responsible for Your Contract with PWE but We will allow You to suspend Your course for up to 90 days in one stretch (three months) with a payment break.
    3. Where You realise You are not able to make payments, We require You to write to us no later than one month before Your next payment is due, to tell us about your situation.
    4. Your letter must explain Your situation, include Your customer reference number, and evidence to support Your claim and the length of break You require. Where PWE permits a payment break, PWE shall agree with You in writing a new schedule to pay the arrears and the balance due, at its discretion.

    Complaints

    1. Should you have any questions or concerns about PWE, the content of any material provided by PWE through any platform, or Our Services, you should contact us at admin@propertywealthcorp.com All queries will be duly responded to by our dedicated team. You may also send feedback to us at this email address, We would like to hear from you so that we can continually improve Our Services to You.
    2. You agree to refrain from publishing any complaints, comments, or negative publications which are false, or which will cause harm to PWE and/or its reputation and where You have made a complaint to Us, You agree to allow PWE a period of up to 21 Business Days to consider Your complaint and to reply to You in writing. You agree to cooperate with PWE during the process as reasonably possible and PWE will seek to resolve Your complaint as quickly and as reasonably possible after which, if unsatisfied, You may evoke the provisions for dispute resolution in these Terms.
    3. You agree that where a complaint is not resolved by Our team to Your reasonable satisfaction and leading to a dispute arising between You and Us, You will apply Your best effort so that we can together seek amicable settlements by agreeing on a choice of a mediator at our shared cost as determined by the mediator, or if we cannot agree within 21 Business Days to mediate or on a choice of a mediator, either of us may seek redress in a competent court.

    Data Protection

    1. PWE reserves the right to film, take pictures and record, including non-visual audios, during the delivery of its Services, whether in-person or virtual and We may invite You to be interviewed about our Services or be on our podcasts or share testimonials, for use in Our promotional and educational materials including on social media and in Our publications. PWE may not promise that You would not be in recordings due to the nature of Our events but should you not wish for your image to be used on social media or in Our publications, You must put a request to PWE in writing prior to the event and ensure you obtain Our confirmation in writing so that We can be sure to make necessary logistical arrangements in Your best interest at the specific event(s).
    2. PWE will not share your data with any company or organisation, unless required for debt recovery purposes, which you here authorise, or in compliance with law and regulation, to a court or other legal authority.

     

    Our Rights, Obligations, and Liabilities

     

    1. We will provide Our Services in a timely, professional, and efficient manner using adequately trained personnel.
    2. We will comply with the provisions of the data protection legislation.
    3. We will remain in compliance with applicable laws, statutes, and regulations.
    4. PWE shall not be liable for loss of profits, loss of business, depletion of goodwill and/or similar losses, loss of anticipated savings, loss of goods, loss of contract, loss of use, loss or corruption of data or information, any special, indirect, consequential, or pure economic loss, costs, damages, charges, or expenses. income, or revenue, Your reputation, or for anything pertaining to Your business, payments due to any third party, or loss of anticipated earnings.
    5. PWE’s total liability in contract, tort (including negligence or breach of statutory duty) misrepresentation, restitution or otherwise arising in connection with the performance, or contemplated performance of a Contract shall be limited to the amount of any Membership Fee paid by You in respect of any one claim or series of claims. Where PWE is in breach of the Terms, PWE will only be responsible for any losses that a client suffers to the extent that the losses are foreseeable to both parties at the time of using Our Service. This clause shall be without prejudice to other sums that may be owed to PWE in balance of Fees, and which shall remain payable to PWE.
    6. Nothing in these Terms shall limit or remove Our liability where death or personal injury is caused by our negligence (including staff, contractors, or representatives), or where fraud or fraudulent activity has occurred.
    7. Clauses 82 and 83 will continue to have effect even after termination of Your Contract with Us.
    8. Nothing in these Terms shall limit or remove Your statutory rights as a consumer. Please visit your local Citizen Advice Office or Trading Standards Office for more detail or advice as You may require.
    9. No information provided in any of Our Services shall be taken as investment advice, and PWE shall not be liable for any form of loss or damage arising from such reliance. PWE affirms that We are not responsible for the investments decisions made by You and do not make any guarantees or warranties on Your investments.
    10. Dates, venues, online training links and topics are subject to change following and in any promotional material at the discretion of PWE.
    11. While PWE warrants to provide Services with reasonable care and skill, all other warranties, conditions, and terms implied by statute or common law are, to the fullest extent permitted by law, excluded from these Terms.
    12. Time shall be of the essence in these Terms and in Your Contract including for the dates that You agree to take actions.

    Confidentiality

     

    1. You shall keep confidential all private or non-public information relating to the business of PWE, its affairs, information on other clients, or suppliers, and shall not disclose PWE’s plans, schemes, systems, or material, or details of private conversation between PWE members, to any unrelated third party or persons that are not Wealth Circle Community Members except where disclosure is required by law or by a regulatory authority. This obligation shall continue even after the end of Your Contract with Us.
    2. You are prohibited from providing services similar to the Paid Services which would be deemed to be directly in competition with PWE Services except as permitted in these Terms but in any case, not within 12 months of ending Your Contract with PWE.
    3. PWE prohibits You from commercialising or sharing the contents of Our Services or business with other party including after the end of Your Contract with Us.

    Intellectual Property

     

    1. The copyright, and all other intellectual property rights of whatever nature, in the course material, Services, photographs, videos, computer programs and other material produced or commissioned by PWE, except as otherwise stated in these Terms, is and shall remain the sole and exclusive property of PWE and Our licensors where applicable. Members may share in their social media profiles that they are Members of the PWE Wealth Circle but must not portray Our endorsement of their actions where none exists.  Members must not use any of Our PWE branding or use or re-publish for use any materials provided as part of Our Membership or business Services except with Our prior written consent and at Our sole discretion.
    2. Nothing in these Terms is to be read as making You and Us business partners or agents of the other.

    Force Majeure

     

    1. A party will not be liable if delayed or prevented from performing its obligations under Our agreement due to a force majeure event, provided that it:
      1. Promptly notifies the other of the force majeure event and its expected duration, and
      2. Uses reasonable endeavours to minimise the effects of that force majeure event being an event or a sequence of events beyond a party’s reasonable control preventing or delaying it from performing its obligations under this agreement, but inability to pay is not a force majeure event.

    Governing Law

    1. The Terms and any Contract or agreement formed between You and PWE shall be governed by the law of England including for disputes.
    2. Where a provision in these Terms is deemed unenforceable or invalid, to the extent determined, the remainder of such provisions and of the entire Terms shall remain valid and enforceable.  
    3. Under the UK Contracts (Rights of Third Parties) Act 1999, any person that is not party to Our Contract shall have no right to enforce any of the terms of Our Contract except for other rights or remedy available to such a third party existing or available outside of this Act.
    4. References to legislation in these Terms include as amended or re-enacted.
